Terms.

01The agreement

These terms are between BreakerStudio LLC (“we”, “us”) and the person or business buying a board (“you”). They apply from the moment you pay us. If we have signed something separate with you, that document wins wherever the two disagree.

If you subscribed before 31 October 2026 on the monthly or yearly plan, the terms you accepted then (tos-2.1) still govern that plan, including its locked rate and what happens if you cancel, except where clause 04 improves them. Clause 04 and clause 05 summarize them under Earlier plans.

02This is a business service

We sell to people running a selling operation — a show, a shop, a channel. We do not sell to consumers, and a board is not a consumer product. You confirm you are buying for business purposes and that you are at least 18.

03What we build

We design and build a board for your show, to your brand. It sets itself up in OBS in a few clicks. With it come custom animations for Stash or Pass, Double Stash or Pass, See 2 Pick 1, See 3 Pick 1, See 3 Pick 2, Pick Your Team and Live at $1, and Starting stream, On break and Ending stream scenes.

Every board runs the same Control Panel, with every league, every game, the soundboard and our standard animations. While your updates are active you get every new Control Panel feature and fix as we release them. Updates cover the Control Panel only; they never change your board or your animations.

The board is driven by our Control Panel — a dock inside OBS that sells spots, sets buyer names, fires callouts and runs the message bar. The board is the presentation. The panel is the controls. They ship as one file and they are built to work together.

Heavier personalization — premium artwork, custom animations, a second channel with its own design — is quoted separately before we start, the way it always has been.

04Price and payment

Year one is $799. That is $700 to design and build your board, plus $99 for your first year of updates. You pay it once, at checkout.

After the first year, updates are $99 per year, per seat. One seat runs the Control Panel on up to three of your own computers; a fourth needs another seat, and you can free up a computer from your account at any time. Each extra seat is $99 per year, and never a second build fee.

Your updates renew automatically every year, and your card is charged automatically, until you turn off auto-renew. You can turn it off, or turn it back on, at any time at breaker.studio/billing, from the billing link on any receipt we send you, or by emailing us. Turning it off stops every future charge, and you keep getting updates until the end of the year you have already paid for. We will remind you before each renewal.

If you renew after a gap, you pay the yearly price at that time ($99 per seat today), and your new year starts that day. You do not pay for the years you skipped.

Earlier plans. If you subscribed before 31 October 2026, your plan is unchanged: $50 per month or $480 per year, per seat, at a rate locked for as long as your subscription stays active and unbroken, renewing automatically until you cancel. We email you at least once a year to say it is still running, and remind you before each yearly renewal.

Once the payments on an earlier plan add up to $799, it moves to updates at $99 per year, per seat, starting when its current paid period ends. It renews automatically every year until you turn off auto-renew. Nothing on your board or Control Panel changes when it moves.

Payments are handled by Stripe. We never see your card details. Premium and custom work is quoted separately and billed by invoice.

05If you stop paying for updates

Said plainly, because it is the thing most worth being clear about.

You keep your board and your Control Panel, and they keep working. They stay on the last version we released before your paid year ended. You can still sell spots, set buyer names, fire callouts and use everything that version has, on the computers your seats cover, including new ones you set up.

What stops: new Control Panel features and fixes. Your board and your animations stay exactly as they are either way. We do not support a version we have since replaced; if something goes wrong on it, renewing gets you the fix.

Nothing of yours is deleted. The board file stays on your computer, and so do your images, your saved lists and your settings. Add-ons you bought stay attached to your license permanently.

Renew at any time from your account page, and your board and Control Panel move to the latest version, as you left them, with your design and saved settings kept.

Your board still checks in with our server now and then, as clause 06 describes, so it can confirm your license.

Earlier plans. If you subscribed before 31 October 2026 and cancel, the Control Panel stops working, and the board cannot be driven without it. Nothing of yours is deleted, and resubscribing brings it all back as you left it.

Once an earlier plan's payments add up to $799 (clause 04), the first part of this clause applies to it instead: your board and Control Panel keep working.

06Updates, and what the board sends us

Updates install themselves. A new version arrives quietly in the background while you are not streaming, and applies the next time the board loads. You never reinstall, never redo your OBS setup and never re-add your images.

To do that, the board checks in with our server when it is online. It sends your license key, a device identifier we generate, the version you are running, and — as every request on the internet does — your IP address. It does not send your images, your buyers, your sales, your break results or anything else on your board. The Privacy page sets this out in full.

You do not need to be online to run a show. The board works offline between check-ins. It does need to reach us occasionally to confirm the subscription is still live.

We design updates so they never change your board’s design, delete anything you have saved, or remove custom work we built for you. If an update fails to load, the Control Panel goes back to the last working version by itself. If an update causes any other problem, tell us and we will fix it.

07What you send us

To build a Standard board we need your logo, your colors, and any images you want on the spots. Send the best files you have.

If you go quiet for 60 days after paying and we cannot get what we need to finish, we may close the project and deliver whatever is built. We will chase you more than once before that happens.

08Revisions

Before we build a Standard board, we send you screenshots of the design, and we change them until you are happy with them. Once the board is built, one revision round is included: tell us what to change and we change it.

A revision is a change to what we agreed. Adding a new league, a new layout or a feature that was not in the quote is new work, and we will quote it separately before doing it rather than surprise you with a bill.

09Delivery

Delivery time varies with the build. Most are delivered within three business days.

That assumes we have what we need from you — the clock does not run while we are waiting on your logo and colors. We tell you straight away if anything will hold it up.

Three business days is what usually happens, not a guarantee, and it is not a deadline you can hold us to. We are a small shop and we would rather tell you that than dress a typical case up as a promise.

10What you own, and what you license

The board file we deliver is yours. Your logo, your colors and any images you supply were always yours and stay yours. A Starter board (an earlier plan) uses our own design and branding: the file is yours to run, but the design stays ours.

The Control Panel is licensed to you, not sold. Use it on your own computers, for your own shows: with every update while your updates are active, and on the version you have after that (clause 05). On an earlier plan, for as long as your subscription is active. You may not share your license key outside your own business, resell or redistribute the software, or remove or alter the licensing code.

The board is built to be run by the panel, and the two come together. What you own is the board we designed for your brand. What you pay for each year after the first is keeping it current.

11What we keep

We keep the tools we build with: our engine, our code, our layout system, and the generic components behind every board we make. You own your board. You do not own the machinery that produced it, and we go on using that machinery for other people.

What that means in practice: nobody else gets your artwork, your brand or your board. We are not going to resell your design to the next seller who asks.

Unless you tell us not to, we may show your board in our own portfolio. Say the word and we won't.

12Your images, and who cleared them

Any images you send us are yours to send. By sending them you confirm you own them or have permission to use them, and that we can put them in your board.

We are being paid to design, not to run trademark or copyright clearance. We do not check whether you are entitled to use a logo, a photo or a player image, and we are not liable if you were not. If someone comes after us over material you supplied, clause 18 applies.

13League and team marks

We do not put league or team marks in any board, in any circumstance, however the request is framed. Boards ship with clean three-letter codes in your colors. Anything beyond that on the spots is yours to supply and yours to have cleared.

14Breaks, randomization and platform rules

Our software never decides anything. A board displays an outcome that you or your selling platform have already determined. It does not pick winners, assign spots, shuffle, roll, spin, draw or randomize, and it will not be built to. If you ask us for a feature that decides who gets what, we will say no.

We are not a party to your breaks. We do not sell slots, take entries, hold money, hold product or ship anything. We are a design vendor and our involvement ends at the file.

How you run your show is your responsibility: your compliance with the rules of Whatnot or any other platform, and with the law where you and your buyers are. Selling formats in this hobby are under active legal challenge, and what is permitted can change. Keeping up with that is yours, not ours.

15What we don't promise

We will build you a board that looks the way we agreed and works the way we say. We do not promise it will win you sales, viewers, followers or anything else. Nobody honest can promise that.

We do not promise the board will work forever with software we do not control. OBS, your platform and your operating system all change. If a change breaks your board, talk to us — see clause 17.

Our licensing and update service may occasionally be unavailable, and we do not promise any particular uptime for it. Your board is built to keep running while it cannot reach us, because a live show must never depend on our server being up.

16Refunds, cancellation and chargebacks

All charges are final. Charges are non-refundable: your year-one payment, every yearly renewal, and on earlier plans the start fee and every monthly or yearly charge, including part periods. Standard boards are designed for one customer, and the work starts as soon as you pay.

Turn off auto-renew (or, on an earlier plan, cancel) any time to stop future charges; you keep what you have paid for until the end of that period.

If something is wrong with what we built, we fix it. That is the remedy, and we would rather fix it than argue.

If you are unhappy, email us before you call your bank. A chargeback will be disputed with this page and our correspondence attached, and we will stop work on anything else of yours while it is open.

Nothing here limits any refund right you have under the law of the state you live in.

17Limits on our liability

If your board fails mid-break, email us — that is the one thing we drop everything for.

What we will not do is carry the losses of your business. We are not liable for lost sales, lost profit, lost viewers, reputational harm, or any indirect or consequential loss, whether or not we were warned it might happen. Our total liability to you for anything connected with a board is limited to what you actually paid us for it.

Nothing here limits liability for fraud, for anything else the law does not allow us to limit, or for our own deliberate wrongdoing. This clause is deliberate and the price reflects it.

18Your indemnity

You agree to cover us — including our legal costs — for claims that come out of things that were yours to control. In practice that means material you supplied to us, and how you ran your breaks and your business.

This does not cover our own mistakes. If a claim comes from something we got wrong, it is ours.

19Changes, law and disputes

We may update these terms. If a change materially affects your rights we will tell you by email at least 30 days before it takes effect, and it will not apply retroactively. The date and version at the top tell you which one you are reading. We will never use this clause to change a locked rate on an earlier plan — clause 04 can only move in your favor.

BreakerStudio LLC is organized in Ohio. These terms are governed by Ohio law, and any dispute belongs in the state or federal courts sitting in Ohio. Both of us agree to that.
