Terms.

01The agreement

These terms are between BreakerStudio LLC (“we”, “us”) and the person or business buying a board (“you”). They apply from the moment you pay an invoice. If we have signed something separate with you, that document wins wherever the two disagree.

02This is a business service

We sell to people running a selling operation — a show, a shop, a channel. We do not sell to consumers, and a board is not a consumer product. You confirm you are buying for business purposes and that you are at least 18.

03What we build

We design and build a custom on-stream break board for your show. It is delivered as a single self-contained HTML file, and we install it into OBS for you.

A board is presentation. It shows spots, names, teams, prices and callouts, in your colours, on your stream. What it does is display.

04Price and payment

We quote on a call. The price is fixed for the scope we agreed there. You pay by Stripe invoice — there is no payment on this site, no subscription and nothing that renews.

Work starts once the invoice is paid. If an invoice goes unpaid, we stop and the slot goes to someone else.

05What you send us

To build the board we need your logo, your colours, and any images you want on the spots. Send the best files you have.

If you go quiet for 60 days after paying and we cannot get what we need to finish, we may close the project and deliver whatever is built. We will chase you more than once before that happens.

06Revisions

You see the board before it ships. One revision round is included — tell us what to change and we change it.

A revision is a change to what we agreed. Adding a new league, a new layout or a feature that was not in the quote is new work, and we will quote it separately before doing it rather than surprise you with a bill.

07Delivery

Delivery time varies with the build. Most are delivered within three business days, and we agree a target with you on the call.

That assumes we have what we need from you — the clock does not run while we are waiting on your logo and colours. We tell you straight away if anything threatens the target.

Three business days is what usually happens, not a guarantee, and it is not a deadline you can hold us to. We are a small shop and we would rather tell you that than dress a typical case up as a promise.

08What you own

Once the invoice is paid, the delivered file is yours. Use it for as long as you like, on as many of your own streams as you like. There is no account to keep, nothing to renew, and no way for us to switch it off.

Your logo, your colours and any images you supply were always yours and stay yours.

09What we keep

We keep the tools we build with: our engine, our code, our layout system, and the generic components behind every board we make. You own your board. You do not own the machinery that produced it, and we go on using that machinery for other people.

What that means in practice: nobody else gets your artwork, your brand or your board. We are not going to resell your design to the next seller who asks.

Unless you tell us not to, we may show your board in our own portfolio. Say the word and we won't.

10Your images, and who cleared them

Any images you send us are yours to send. By sending them you confirm you own them or have permission to use them, and that we can put them in your board.

We are being paid to design, not to run trademark or copyright clearance. We do not check whether you are entitled to use a logo, a photo or a player image, and we are not liable if you were not. If someone comes after us over material you supplied, clause 16 applies.

11League and team marks

We do not put league or team marks in any board, in any circumstance, however the request is framed. Boards ship with clean three-letter codes in your colours. Anything beyond that on the spots is yours to supply and yours to have cleared.

12Breaks, randomisation and platform rules

Our software never decides anything. A board displays an outcome that you or your selling platform have already determined. It does not pick winners, assign spots, shuffle, roll, spin, draw or randomise, and it will not be built to. If you ask us for a feature that decides who gets what, we will say no.

We are not a party to your breaks. We do not sell slots, take entries, hold money, hold product or ship anything. We are a design vendor and our involvement ends at the file.

How you run your show is your responsibility: your compliance with the rules of Whatnot or any other platform, and with the law where you and your buyers are. Selling formats in this hobby are under active legal challenge, and what is permitted can change. Keeping up with that is yours, not ours.

13What we don't promise

We will build you a board that looks the way we agreed and works the way we say. We do not promise it will win you sales, viewers, followers or anything else. Nobody honest can promise that.

We do not promise the board will work forever with software we do not control. OBS, your platform and your operating system all change. If a change breaks your board, talk to us — see clause 15.

14Refunds, cancellation and chargebacks

A board is custom work that cannot be resold to anyone else, so payment is not generally refundable once work has started.

Before we start, ask and we will refund you in full. After we start and before delivery, cancel and we will refund whatever we have not yet earned in time on your project, judged honestly and explained to you. After delivery there is no refund, because you have the file.

If something is wrong with what we built, we fix it. That is the remedy, and we would rather fix it than argue.

If you are unhappy, email us before you call your bank. A chargeback on delivered custom work will be disputed with this page and our correspondence attached, and we will stop work on anything else of yours while it is open.

15Limits on our liability

If your board fails mid-break, email us — that is the one thing we drop everything for.

What we will not do is carry the losses of your business. We are not liable for lost sales, lost profit, lost viewers, reputational harm, or any indirect or consequential loss, whether or not we were warned it might happen. Our total liability to you for anything connected with a board is limited to what you actually paid us for it.

Nothing here limits liability for fraud, for anything else the law does not allow us to limit, or for our own deliberate wrongdoing. This clause is deliberate and the price reflects it.

16Your indemnity

You agree to cover us — including our legal costs — for claims that come out of things that were yours to control. In practice that means material you supplied to us, and how you ran your breaks and your business.

This does not cover our own mistakes. If a claim comes from something we got wrong, it is ours.

17Changes, law and disputes

We may update these terms. Changes apply to work quoted after we publish them, not retroactively to a board you have already bought. The date at the top tells you the version.

BreakerStudio LLC is organised in Ohio. These terms are governed by Ohio law, and any dispute belongs in the state or federal courts sitting in Ohio. Both of us agree to that.
